变更法人代表时,章程修正案应如何修改

法人代表的变更应当根据公司的章程

修改公司章程的决议要符合法定人数。必须经代表三分之二以上表决权的股东同意通过。在提出修改公司章程时要有代表三分之二以上表决权的股东同意，经修订的章程也必须由代表三分之二以上表决权的股东同意。否则，修订后的章程无效，原公司章程继续有效。公司章程修改后，还应当报公司登记机关进行登记。
